- Fraud or fraudulent misrepresentation;
- Gross negligence or willful misconduct;
- Any other liability that cannot be excluded or limited under applicable law.
12. Indemnity
You agree to indemnify and hold Orion, its affiliates, and their respective officers, directors, employees, and agents harmless from any claims, losses, liabilities, damages, costs, and expenses(including reasonable legal fees) arising from: (a) your breach of these Terms;(b) your misuse of the Website; or (c) your violation of any law or third-party right.
13. Force Majeure
Orion will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, sanctions, labor disputes, internet or telecommunications failures, cyberattacks, or pandemics.
14. Termination

15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict-of-law principles. In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Website, the parties shall first attempt to resolve the matter through good-faith negotiations. If the dispute is not resolved within ninety (90) days of written notice, either party may refer the matter to an independent and neutral third-party mediator or dispute resolution provider mutually agreed by the parties.
The party initiating the mediation or dispute resolution process shall be responsible for the associated filing fees, administrative charges, and other initial costs, unless otherwise agreed by the parties or determined by the mediator.
Each party shall bear its own legal, advisory, and representation costs unless otherwise determined by the mediator or a court of competent jurisdiction.
If the dispute remains un resolved following mediation, either party may pursue available remedies before the competent courts of Dubai, United Arab Emirates.
Nothing in this section shall prevent either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction where necessary to protect its rights, confidential information, intellectual property, or security interests.
16. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date above will always reflect the current version.
- Non-material changes take effect immediately on publication. Continued use of the Website constitutes acceptance.
- Material changes (e.g. those affecting your rights, liability, or dispute resolution) will be notified through a prominent notice on the Website at least 30 days before they take effect.
If you do not agree to the updated Terms, you must stop using the Website.
17. General
